Terms of Use

These terms (the “Terms”) govern access to and use of the GENSY.EMAIL service (the “Service”), published by Helium Agency Inc. (“Agence Hélium Inc.”, “Gensy”, “we”), a company incorporated in Québec, Canada — Québec enterprise number (NEQ) 1177643112, Canada business number 722984804, 1640 rue Guillaume-Renaud, Québec City, Québec G2K 0H7, Canada. By creating an account or using the Service, you accept these Terms on behalf of the organization you represent (the “Client”). The Service is offered to organizations located in Canada and the United States.

1. The Service

The Service lets the Client create, manage and deploy email signatures and banner campaigns for its employees, including through optional integrations (Google Workspace, Microsoft 365, Outlook add-in, API keys and MCP connector). We may evolve the Service; substantial changes are announced in the application.

2. Account and security

The Client is responsible for the accuracy of its account information, the confidentiality of its credentials and API keys, and the use of the Service by its members. Any use detected as fraudulent or abusive may result in account suspension.

3. Roles regarding personal information

For the employee data that the Client imports into the Service (names, contact details, photos, etc.), the Client remains responsible for the protection of personal information and Gensy acts as a service provider within the meaning of Québec’s Law 25 and PIPEDA. The Client warrants that it is authorized to entrust this information to the Service, that it has informed its employees (including, where applicable, about statistical signature tracking — disabled by default and enabled in the settings) and that it honours their rights (access, rectification, destruction). 4. Acceptable use

In particular, the Service must not be used to:

  • send unsolicited communications or communications contrary to Canada’s Anti-Spam Legislation (CASL), the U.S. CAN-SPAM Act or applicable rules;
  • import personal data without authorization, or sensitive data categories not required by the Service;
  • compromise the security or integrity of the Service, or circumvent its technical limitations or quotas;
  • resell the Service without written agreement.

5. Subscriptions, billing and taxes

Current plans, quotas and prices are shown in the application. Billing is operated by our provider Stripe. Unless stated otherwise, subscriptions renew automatically and can be cancelled at any time for the next period from the billing portal. 6. Intellectual property

The Service, its code and its trademarks remain the property of Helium Agency Inc. Content imported by the Client (logos, photos, data) remains the Client’s property; the Client grants us a licence limited to operating the Service. Generated signatures belong to the Client.

7. Availability and support

The Service is provided “as is”, without any guarantee of uninterrupted availability. We use commercially reasonable efforts to keep it available and to fix issues reported through the built-in support. [TO COMPLETE: any service level commitments]

8. Limitation of liability

To the extent permitted by law, Gensy’s total liability under the Service is limited to the amounts paid by the Client in the twelve (12) months preceding the triggering event. Gensy is not liable for indirect damages, nor for the content of emails sent by the Client. Nothing in these Terms limits the Client’s mandatory rights under applicable law, including Québec’s Consumer Protection Act where applicable.

9. Termination

The Client may delete its account at any time from the settings (permanent deletion of data — see the Privacy Policy). We may suspend or terminate an account for serious breach of these Terms, after formal notice has remained without effect where the law so requires.

10. Language and governing law

These Terms are governed by the laws applicable in Québec and the federal laws of Canada. Any dispute falls under the jurisdiction of the competent courts of the judicial district of Québec, subject to mandatory jurisdiction rules applicable to consumers. This English version is provided for convenience; in case of discrepancy, the French version (Conditions d’utilisation) prevails. The parties confirm their wish that these Terms be drawn up in French, a French version being available before any commitment (Charter of the French language).
